1. About LeafCraft

LeafCraft is a technology company based at IIIT-Hyderabad that designs, builds, and deploys custom agentic AI systems. We create intelligent multi-agent frameworks with specialized knowledge to streamline complex operations and drive autonomous decision-making through our proprietary LeafMesh framework.

2. Services Description

2.1 Core Services

LeafMesh Framework: Our proprietary four-layer architecture (Intelligence, Integration, Infrastructure, and Observability)
AI-ML Development: Production-ready machine learning models and solutions

3. User Responsibilities and Acceptable Use

All activities that occur under your account

Promptly updating any changes to your information

You agree not to:

Use our Services for any unlawful or fraudulent purposes
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the integrity or performance of our Services
Reverse engineer, decompile, or attempt to extract source code from our proprietary technology
Use our Services to develop competing products or services

3.3 Data and Integration Responsibilities

When integrating our AI agents with your systems, you are responsible for:

Ensuring you have proper authorization to connect your enterprise systems
Maintaining appropriate data backup and security measures
Complying with applicable data protection and privacy laws
Providing accurate technical specifications and requirements

4. Intellectual Property Rights

4.1 Our Intellectual Property

LeafCraft retains all rights, title, and interest in:

The LeafMesh framework and all proprietary technology
Our AI algorithms, models, and methodologies
Website content, trademarks, and branding materials
Any improvements or enhancements to our technology developed during service delivery

4.2 Client Data and Configurations

You retain ownership of your business data and specific configurations. However, you grant us a limited license to use your data solely for providing the Services and improving our AI agents' performance for your specific use case.

4.3 Feedback and Suggestions

Any feedback, suggestions, or ideas you provide about our Services become our property and may be used without compensation or acknowledgment.

5. Service Levels and Availability

5.1 Service Commitment

While we strive to provide reliable and high-quality Services, we do not guarantee:

Uninterrupted or error-free operation
Specific performance metrics unless specified in a separate service agreement
Compatibility with all third-party systems or updates

5.2 Service Commitment

We reserve the right to:

Perform scheduled maintenance with reasonable notice
Update or modify our Services to improve functionality
Implement security patches and bug fixes

6. Payment Terms

6.1 Fees and Billing

Service fees are as agreed upon in your specific service agreement or proposal
Payments are due according to the payment terms specified in your agreement
All fees are non-refundable unless otherwise specified
Late payments may incur additional charges and service suspension

6.2 Taxes

You are responsible for all applicable taxes, duties, and government fees related to your use of our Services.

7. Confidentiality

7.1 Mutual Confidentiality

Both parties agree to maintain confidentiality of

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, data, use, goodwill, or other intangible losses
Damages resulting from unauthorized access, use, or alteration of your systems
Any third-party content, services, or conduct

7.2 Cap on Liability

Our total liability for any claims arising from our services shall not exceed the amount you paid us in the 12 months prior to the event giving rise to the claim.
This limitation applies regardless of the legal theory on which the claim is based.

8. Confidentiality and Data Protection

8.1 Confidential Information

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the engagement.
Confidential information includes business strategies, technical data, code, models, and any information marked as confidential.

8.2 Data Privacy

We are committed to protecting your data in accordance with applicable privacy laws.

8.3 Data Security

We implement industry-standard security measures to protect your data.
However, no system is completely secure, and we cannot guarantee absolute security.

9. Termination

9.1 Termination by You

You may terminate services by providing written notice as specified in your agreement.
Early termination may result in fees for work completed and resources allocated.

9.2 Termination by Us

We may terminate or suspend your access immediately if:

You breach these terms and conditions
Payment obligations are not met
We determine that continuing the relationship poses legal or reputational risk

9.3 Effect of Termination

Upon termination, all rights granted to you will cease.
Any outstanding payments become immediately due.
Provisions related to confidentiality, intellectual property, and liability will survive termination.

10. Indemnification

10.1 Terms

These Terms remain in effect while you use our Services or maintain an account with us.

10.2 Termination Rights

Either party may terminate:

For convenience with 30 days' written notice
For material breach if not cured within 15 days of notice
Immediately for insolvency, bankruptcy, or illegal activities

10.3 Effect of Termination

Upon termination:

Your access to Services will be discontinued
Outstanding fees become immediately due
Confidentiality obligations survive termination
We may delete your data after a reasonable retention period

11. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, network failures, or other force majeure events.

We reserve the right to modify these terms at any time.
Changes will be effective upon posting to our website or notification to you.
Continued use of our services after changes constitutes acceptance of the modified terms.
Significant changes will be communicated via email or on our website.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

12.2 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

12.3 Dispute Resolution

Before initiating legal proceedings, parties agree to attempt resolution through good faith negotiations and, if necessary, mediation.
